1. Acceptance of Terms
Welcome to Mirra. These Terms of Use ("Terms") constitute a legally binding agreement between you and Mirra, Inc. ("Mirra," "we," "our," or "us") governing your access to and use of the Mirra digital identity platform, including mirra.co, our mobile applications, and all related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform in any manner, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the date above. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
2. Eligibility
You must be at least 13 years of age (or 16 in the EEA and UK) to use the Platform. By using the Platform, you represent and warrant that:
- You meet the minimum age requirement
- You have the legal capacity to enter into a binding agreement
- You are not prohibited from using the Platform under any applicable laws
- If using on behalf of a company or organization, you have authority to bind that entity to these Terms
3. Account Registration and Security
To access most features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Be responsible for all activity that occurs under your account
- Notify us immediately at support@mirra.co of any unauthorized use of your account or any security breach
Mirra reserves the right to suspend or terminate accounts that contain false, misleading, or outdated information, or that are used in violation of these Terms.
4. Your Mirra Identity Profile
4.1 Public Profile
Your Mirra profile at mirra.co/[username] is designed to be publicly accessible. By publishing information to your profile, you acknowledge and agree that such information will be viewable by anyone with internet access, including individuals who do not have a Mirra account. You are solely responsible for the content you choose to display on your profile.
4.2 Profile Content Standards
You agree that your profile content will not:
- Be false, misleading, or impersonate any person or entity
- Infringe any third party's intellectual property rights, privacy rights, or other legal rights
- Contain nudity, sexually explicit material, or graphic violence
- Promote hatred, discrimination, or harassment based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
- Advertise illegal products or services
- Contain malware, viruses, or harmful code
- Violate any applicable laws or regulations
4.3 Profile Username
Your username at mirra.co/[username] is unique to your account. Mirra reserves the right to reclaim, modify, or reassign usernames that are inactive, abusive, infringing, or otherwise in violation of these Terms. We may also reserve usernames for business or legal purposes.
5. Digital Persona (DP) Feature
5.1 Your Responsibility for DP Content
Mirra's Digital Persona feature enables an AI-powered version of you to respond to visitor questions. You are solely responsible for all content, answers, and training data you provide to configure your Digital Persona. You agree not to configure your Digital Persona to:
- Provide medical, legal, financial, or professional advice as a substitute for qualified professionals
- Impersonate another real person
- Spread misinformation or disinformation
- Engage in harassment, deception, or any unlawful conduct
- Collect information from visitors in a deceptive manner
5.2 Visitor Interactions
Visitors who interact with your Digital Persona do so voluntarily. Mirra does not guarantee the accuracy or completeness of any AI-generated responses. We are not liable for any decisions made by visitors based on interactions with your Digital Persona.
5.3 AI Limitations Disclosure
Your Digital Persona is powered by artificial intelligence and may produce inaccurate, incomplete, or unexpected responses. Mirra encourages you to review your DP's behavior regularly and update or disable it if you identify problematic outputs.
6. Profile Photo and Video Animation
Mirra offers an AI-powered photo and video animation feature for profile hero content. By uploading a photo or video for animation, you:
- Represent that you own or have the right to use the media you upload
- Grant Mirra a limited license to process the media through our AI animation pipeline solely for the purpose of generating your animated profile content
- Acknowledge that AI-generated animations may not perfectly replicate your likeness and are subject to the limitations of current AI technology
- Agree that Mirra is not responsible for the quality or accuracy of AI-generated animations
You may remove your animated profile content at any time through your account settings.
7. Contact Sharing and QR Code Features
Mirra's contact sharing, QR code, and Apple Wallet features are designed to facilitate real-world connections. By using these features:
- You consent to your contact information being saved by other Mirra users when you choose to share it
- You acknowledge that once contact information is exchanged, the recipient retains that information outside of Mirra's control
- You agree not to use contact information received through Mirra for spam, harassment, or any unlawful purpose
- You acknowledge that QR codes generated by Mirra are linked to your live profile and will reflect any changes you make to your profile
8. Mirra Network and Connections
The Mirra Network allows users to connect with each other and discover other users. By using network and discovery features:
- You acknowledge that other users may be able to find your profile through search and discovery features
- You agree not to use discovery features to stalk, harass, or engage in any unwanted contact with other users
- You understand that connection requests can be declined and that other users have the right to control their own connection settings
- You agree not to use automated tools, bots, or scripts to scrape, collect, or interact with other users' profiles
9. User Content License
By uploading, posting, or submitting any content to the Platform ("User Content"), including photos, videos, profile text, links, and Digital Persona training data, you grant Mirra a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, modify (for technical purposes such as formatting and compression), display, and distribute your User Content solely for the purpose of operating and providing the Platform.
You retain all ownership rights in your User Content. The license you grant Mirra terminates when you delete the relevant content or your account, subject to our data retention practices described in the Privacy Policy.
You represent and warrant that: (i) you own or have the necessary rights to submit your User Content; (ii) your User Content does not violate the rights of any third party; and (iii) your User Content complies with these Terms and all applicable laws.
10. Prohibited Conduct
You agree not to engage in any of the following:
- Violating any applicable local, state, national, or international law or regulation
- Impersonating any person, company, or entity
- Collecting, harvesting, or scraping other users' personal information without consent
- Using automated systems, bots, or scripts to access, scrape, or interact with the Platform
- Attempting to gain unauthorized access to any part of the Platform or its infrastructure
- Transmitting viruses, malware, or any code designed to disrupt or damage the Platform
- Engaging in any activity that imposes an unreasonable load on our infrastructure
- Reverse engineering, decompiling, or attempting to extract source code from the Platform
- Using the Platform to send unsolicited commercial communications (spam)
- Creating fake accounts or misrepresenting your identity
- Reselling or sublicensing access to the Platform without authorization
- Using the Platform in any way that could harm Mirra's reputation or business interests
11. Third-Party Services and Integrations
The Platform integrates with third-party services including social media platforms, AI model providers, and other tools. Your use of any third-party service is subject to that service's own terms and privacy policies. Mirra is not responsible for the availability, accuracy, or practices of third-party services.
Connecting a third-party account to Mirra constitutes your authorization for Mirra to access and display information from that account as specified during the connection process. You may disconnect third-party accounts at any time through your account settings.
12. Intellectual Property
12.1 Mirra's Intellectual Property
The Platform, including its design, software, features, logos, trademarks, and all content created by Mirra, is the exclusive property of Mirra, Inc. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our express written permission.
12.2 Feedback
If you provide Mirra with any feedback, suggestions, ideas, or improvements ("Feedback"), you grant Mirra a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Platform without any obligation to you.
13. Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
14. Communications and Marketing Consent
By creating a Mirra account, you consent to receive transactional communications from Mirra including account confirmations, security alerts, and service-related notices. These communications are necessary for the operation of your account.
With your separate consent, we may also send you marketing communications about new features, products, and promotions. You may opt out of marketing communications at any time by clicking "Unsubscribe" in any marketing email, replying STOP to any SMS, or updating your notification preferences in your account settings.
SMS Communications
If you opt in to SMS communications from Mirra:
- You will receive notifications regarding product updates, new features, and promotional offers
- Message and data rates may apply
- Message frequency varies based on your account activity
- Reply STOP to unsubscribe at any time; reply HELP for assistance
- Carriers are not liable for delayed or undelivered messages
15. Subscription Plans and Payments
Mirra offers both free and paid subscription plans. Paid features are subject to the following:
15.1 Billing
Paid subscriptions are billed on a recurring basis (monthly or annually as selected). By subscribing to a paid plan, you authorize Mirra to charge your payment method on file for the applicable fees.
15.2 Free Trial
Where offered, free trials automatically convert to paid subscriptions at the end of the trial period unless you cancel before the trial ends.
15.3 Refund Policy
Mirra offers a 14-day refund policy for new paid subscriptions. If you are not satisfied with your subscription within 14 days of initial purchase, you may request a full refund by contacting support@mirra.co. After 14 days, no refunds will be issued. Upon cancellation, you will retain access to paid features until the end of your current billing period.
15.4 Price Changes
Mirra reserves the right to change subscription pricing. We will provide at least 30 days' notice of any price changes. Your continued use of the paid service after the effective date of a price change constitutes your acceptance of the new pricing.
16. Team and Business Accounts
Mirra offers team and business account features. The account owner ("Admin") is responsible for:
- Ensuring all team members comply with these Terms
- Managing access permissions and seat assignments
- Promptly deactivating profiles of team members who leave the organization
- All billing and payment obligations for the team account
Team members added to a business account agree that the Admin has authority to manage, modify, or deactivate their Mirra profiles associated with that team account.
17. Termination and Account Suspension
17.1 Termination by You
You may delete your account at any time through your account settings or by contacting support@mirra.co. Account deletion will result in the removal of your public profile and, subject to our data retention practices, deletion of your personal data.
17.2 Termination by Mirra
Mirra reserves the right to suspend, restrict, or permanently terminate your account at our sole discretion, with or without notice, if we determine that:
- You have violated these Terms or any applicable law
- Your account or content poses a risk to other users, Mirra, or third parties
- Your account has been inactive for 24 consecutive months
- You have engaged in fraudulent, abusive, or deceptive behavior
- We are required to do so by applicable law or legal process
Upon termination, your right to use the Platform immediately ceases. Mirra is not liable to you for any termination of your access to the Platform.
18. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. MIRRA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AI-GENERATED FEATURES, INCLUDING THE DIGITAL PERSONA AND PROFILE PHOTO/VIDEO ANIMATION, ARE PROVIDED WITHOUT WARRANTY AS TO ACCURACY, QUALITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. YOU USE THESE FEATURES AT YOUR OWN RISK.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRRA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Platform
- Any content displayed on the Platform
- Unauthorized access to or alteration of your data
- Interactions with other users of the Platform
- AI-generated content produced through Digital Persona or animation features
- Any other matter relating to the Platform
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, MIRRA'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL MIRRA'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MIRRA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
20. Indemnification
You agree to indemnify, defend, and hold harmless Mirra, Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of or access to the Platform
- Your User Content, including your profile content and Digital Persona training data
- Your violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Any AI-generated content produced through your Digital Persona that causes harm to a third party
21. Governing Law and Dispute Resolution
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
21.1 Informal Resolution
Before filing any formal legal claim, you agree to contact us at legal@mirra.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
21.2 Arbitration
If we are unable to resolve the dispute informally, you and Mirra agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform through binding individual arbitration, rather than in court, except as provided below. The arbitration shall be administered by JAMS under its applicable rules.
21.3 Class Action Waiver
YOU AND MIRRA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
21.4 Exceptions
Nothing in this Section prohibits either party from seeking injunctive or other equitable relief in court to prevent infringement of intellectual property rights or protect confidential information.
21.5 Time Limitation
Any claim arising out of or related to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues, or such claim is permanently barred.
22. Service Availability
Mirra intends to provide the Platform for as long as commercially viable. In the event that Mirra ceases operations or discontinues the Platform, we will provide users with at least 30 days' advance notice to allow you to export or save your profile data. Mirra holds no responsibility to users on the Platform in connection with any shutdown or discontinuation of services beyond providing such notice.
23. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mirra regarding the Platform and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Mirra's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without Mirra's prior written consent. Mirra may assign its rights and obligations without restriction.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
- Force Majeure: Mirra shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond its reasonable control.
